Terms of Use

These Terms of Use ("Terms") govern your access to and use of the TMSDASH platform, including its CarrierTMS and BrokerTMS editions, the carrier-facing load portal, the driver mobile portal, and any related services we offer (collectively, the "Service"). The Service is operated by TMSDASH ("TMSDASH," "we," "us," or "our").

By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and references to "you" include that entity.

When you sign up, TMSDASH provisions a carrier workspace tied to your organization. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or security breach.

Each workspace is isolated: data you create (loads, drivers, vehicles, customers, invoices, documents, and the like) belongs to your organization and is not shared with other workspaces unless you intentionally publish it through the carrier load portal or share a tender link. You may invite users to your workspace and are responsible for their use of the Service under your account.

You may use the Service only if you are at least 18 years of age and can form a legally binding contract. You represent that the registration information you provide is accurate and complete, including your company name, DOT/MC numbers where applicable, and contact details.

TMSDASH is a transportation management tool. It does not act as a motor carrier, broker, freight forwarder, or shipper. You remain solely responsible for operating under the proper authority, licenses, insurance, and regulatory compliance (including DOT/FMCSA requirements) for your business.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Enter false, misleading, or inaccurate shipment, billing, or regulatory data.
• Upload content that infringes the intellectual property or privacy rights of others.
• Attempt to access data or features outside your own workspace or probe, scan, or test the Service's security.
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent law prohibits that restriction.
• Resell, sublicense, or rebrand the Service without our written permission.
• Interfere with the Service's operation or overload it with automated requests.

You retain ownership of the business data you submit to the Service (loads, drivers, customers, documents, and so on). You grant TMSDASH a limited, non-exclusive license to host, transmit, and process that data solely to operate the Service for you.

You are responsible for the accuracy and legality of your content and for keeping backup copies of any documents you upload. We process personal data as described in our Privacy Policy.

TMSDASH offers Starter, Professional, and Enterprise plans on monthly or annual billing cycles. Paid plans begin after any free-trial period and renew automatically until canceled. You authorize us to charge your selected payment method for recurring fees.

You can change plans, adjust seats, or cancel at any time from Settings → Billing. Cancellations take effect at the end of the current billing period. Except where required by law, fees are non-refundable once a billing period has begun.

Invoicing, carrier payables, and payment-recording features are provided to help you track billing. TMSDASH does not collect customer payments on your behalf unless you use a connected payment gateway.

New workspaces may begin on a free trial that includes sample loads, drivers, and vehicles so you can evaluate the Service. Trial terms and duration may change. At the end of a trial, your workspace remains accessible according to the plan you select. We may disable trial access or remove demo data after a period of inactivity.

The Service may connect to third-party tools such as payment gateways, mapping providers, email, and accounting or spreadsheet services. Your use of those services is governed by their own terms and policies. TMSDASH is not responsible for the acts of third-party providers or for data once it leaves the Service through an integration you configure.

The Service, including its software, design, TMS.BOT features, and the TMSDASH brand, is owned by TMSDASH and protected by intellectual property laws. These Terms grant you no right in the Service except the limited right to use it as described here. The TMSDASH name and logo may not be used without our prior written consent.

The Service is provided "as is" and "as available." To the fullest extent permitted by law, TMSDASH disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Service will be uninterrupted, error-free, or secure, or that operational data such as load statuses or GPS locations will always be accurate or current.

You are responsible for verifying shipment, billing, compliance, and safety information before acting on it. The Service is a business tool and is not a substitute for legal, accounting, or safety advice.

To the fullest extent permitted by law, in no event will TMSDASH be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, cargo, revenue, data, or business, arising out of or related to the Service, whether based on warranty, contract, tort, or any other theory.

TMSDASH's total aggregate liability for any claim arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend and hold TMSDASH harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

You may close your account at any time. TMSDASH may suspend or terminate access if you breach these Terms, if your account remains inactive, or if required to protect the Service or other users. Upon termination, your right to use the Service ends. We may retain your data for a reasonable period to allow export or to comply with legal obligations, then delete it.

We may update these Terms from time to time. We will post the revised Terms and update the "Last updated" date. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from the Service.

We both agree to attempt to resolve disputes informally first. Where permitted, disputes will be resolved through binding arbitration on an individual basis, and class actions may not be combined.

If any part of these Terms is found unenforceable, the remainder stays in effect. These Terms constitute the entire agreement between you and TMSDASH regarding the Service and supersede any prior agreements. You may not assign these Terms or your account without our consent; we may assign them freely. No waiver by us is a waiver of any future breach.
